The King of the Dead used fear as his weapon, as did the Witch-King, and both were ultimately men who ended up as Spirits...but the Witch-King did have the will of Sauron behind him, as well as a much larger host and probably more skill in battle. Plus no man (even a dead one) could supposedly kill him. So although the Dead King could potentially have given a good duel, in the end the Witch-King would have crushed him with a swipe of his flail.
